Carry Wealth Plans Comprehensive Bye-Law Overhaul to Support Hybrid Meetings, E-Voting and Treasury Share Holding

Carry Wealth Holdings Limited (Carry Wealth) announced that its board has proposed the adoption of amended and restated Bye-Laws aimed at modernising the company’s corporate governance framework.

Key proposed changes • Governance modernisation: The new Bye-Laws will expressly allow hybrid and fully electronic shareholder meetings and introduce electronic voting mechanisms. • Capital management flexibility: The amendments will permit Carry Wealth to hold treasury shares. • Regulatory alignment: The draft Bye-Laws are designed to comply with (i) the Hong Kong Stock Exchange’s “Consultation Conclusions to Proposals to Further Expand the Paperless Listing Regime and Other Rule Amendments” dated 24 January 2025, and (ii) the Securities and Futures (Uncertificated Securities Market) Rules under Chapter 571 of Hong Kong law. • Housekeeping updates: Additional consequential and administrative revisions will be consolidated into the new document.

Next steps The amended and restated Bye-Laws require shareholder approval by special resolution at the forthcoming annual general meeting (AGM). A circular detailing the full text of the amendments, the AGM notice and proxy form will be dispatched to shareholders in due course.

Board composition As of 7 May 2026, the board comprises three executive directors—Mr. Zhang ZiXing (Chairman), Mr. Yu Baosen and Mr. Lee Chi Ho—along with three independent non-executive directors: Mr. Yang Jusheng, Mr. Lam Chi Wing and Ms. Li Qian.
