Fusen Pharmaceutical to Seek 20% Issuance Mandate and 10% Buyback Authority at 29 May 2026 AGM

Fusen Pharmaceutical Company Limited will convene its Annual General Meeting (AGM) on 29 May 2026 at 2:00 p.m. (Units 5906–5912, 59/F, The Center, Hong Kong). Key resolutions include:

• Share Issuance & Treasury-Share Sale Mandate – Directors request authority to issue, allot or deal in additional shares and/or sell or transfer treasury shares up to 20 % of the company’s issued share capital (excluding any treasury shares) as at the AGM date. – Based on 739.30 million issued shares on 24 April 2026 (Latest Practicable Date), the mandate would allow issuance or sale of up to 147.86 million shares.

• Share Repurchase Mandate – Directors seek approval to repurchase up to 10 % of issued shares (excluding treasury shares), equating to a maximum of 73.93 million shares. – Repurchases will be financed from legally available resources and will not be executed if they would reduce the public float below 25 % or trigger a mandatory takeover offer.

• Extension of Issuance Mandate – The number of shares repurchased under the buyback authority may be added to the 20 % general issuance limit.

• Board Composition – Re-election of Executive Directors: Mr Cao Zhiming (Chairman & CEO) and Ms Meng Qingfen. – Re-election of Independent Non-executive Directors: Mr Lee Kwok Tung, Louis and Mr Yu Ho Ming. – All four directors have offered themselves for re-election; the nomination committee confirmed independence of the two INEDs.

• Auditor Re-appointment – CCTH CPA Limited is proposed for re-appointment as external auditor, with remuneration to be capped at RMB2.65 million for the next fiscal year.

• Shareholding Snapshot – Issued shares: 739.30 million. – Controlling shareholders’ concert party group, led by Chairman Cao Zhiming, holds approximately 73.22 % of voting rights.

• Key Dates – Last day to lodge share transfers: 22 May 2026 (4:30 p.m.). – Register-of-members closure: 26–29 May 2026 (both days inclusive). – Proxy forms due: 48 hours before AGM.

All AGM resolutions will be decided by poll, and results will be published in accordance with Hong Kong Listing Rules.
