ZHONG JI LS to Re-elect Four Directors, Renew Auditor and Refresh 20% Issuance Mandate at 30 Jun 2026 AGM

ZHONG JI Longevity Science Group Limited (ZHONG JI LS, 00767) has issued a circular convening its Annual General Meeting (AGM) for 10:30 a.m. on 30 June 2026 at 30/F., Harbour Side HQ, Kowloon Bay, Hong Kong.

Key proposals to be tabled:

1. Board Composition • Re-election of all four retiring directors: Executive Chairman & CEO Yan Li, Non-executive Director Lyu Changsheng, and Independent Non-executive Directors Wang Huijuan and Tam Mei Chu. • Yan Li currently holds 94.66 million shares, equal to 14.87 % of issued capital.

2. Auditor • Re-appointment of CCTH CPA Limited until the next AGM, with audit fees not to exceed HK$1.50 million.

3. Share Capital Mandates • General mandate to issue new shares up to 20 % of issued capital. Based on the 636.65 million shares outstanding at the latest practicable date (3 June 2026), the limit equates to 127.33 million shares. • General mandate to repurchase shares up to 10 % of issued capital, or 63.67 million shares. • Extension of the issuance mandate by the amount of shares actually repurchased.

4. Administrative Dates • Share register will close from 25 June 2026 to 30 June 2026 (both days inclusive). Shareholders must lodge transfers by 4:30 p.m. on 24 June 2026 to qualify for voting rights.

The board recommends shareholders vote in favour of all resolutions. Voting will be conducted by poll, and no shareholders are required to abstain.
