Wuxi Life International Holdings Group Limited announced a delay in sending its shareholder circular related to the proposed variable interest entity (VIE) agreements for operating the “Pingou” mobile application in mainland China.
The company had initially planned to dispatch the circular—containing full details of the VIE structure, an Independent Board Committee recommendation, an Independent Financial Adviser’s opinion and the notice of the extraordinary general meeting—on or before 18 August 2026. Additional time is required to finalise certain information, and the revised timetable moves the dispatch date to on or before 28 August 2026.
The board currently comprises eight directors: three executive directors (Chairman Liu Guanzhou, Liu Xingmei and Choi Pun Lap), two non-executive directors (Li Hui Ling and Yan Dandan) and three independent non-executive directors (Lai Pik Chi, Peggy; Fu Yan Ming; and Xia Qiankun).
The Hong Kong Exchanges and Clearing Limited and the Stock Exchange of Hong Kong Limited have disclaimed responsibility for the announcement’s contents, and the directors have affirmed the accuracy and completeness of the disclosed information.
The announcement will remain available on the Stock Exchange’s “Latest Listed Company Information” page and the company’s website for at least seven days from its 24 August 2026 publication date.
