Hygeia Health Buys Back 260,600 Shares, Treasury Stock Rises to 4.98 Million

Hygeia Healthcare Holdings Co., Limited (Hygeia Health) disclosed that on 30 April 2026 it repurchased 260,600 ordinary shares on the Hong Kong Stock Exchange under its current buy-back mandate.

• Transaction details – Volume: 260,600 shares – Price range: HKD 11.43–11.57 per share – Volume-weighted average price: HKD 11.51 per share – Aggregate consideration: HKD 2.99 million

• Capital structure after repurchase (30 April 2026) – Issued shares (excluding treasury): 613.52 million, down 0.04% from 613.78 million before the transaction – Treasury shares: 4.98 million (including the newly repurchased shares) – Total issued shares (including treasury): unchanged at 618.50 million

• Mandate utilisation – Shareholders authorised a maximum buy-back of 61.85 million shares on 27 June 2025. – Cumulative repurchases under the mandate now total 4.98 million shares, representing 0.81% of the issued share capital on the mandate date.

• Post-transaction restrictions – In line with Hong Kong listing rules, Hygeia Health is subject to a moratorium on issuing new shares or selling treasury shares until 30 May 2026.

All procedures were carried out under the applicable Hong Kong Stock Exchange listing rules, and the company confirmed receipt of funds and compliance with all regulatory requirements.
