KING'S STONE Issues AGM Proxy Form; Agenda Covers FY2026 Accounts, Board Re-elections and Share Mandates

King’s Stone Holdings Group Limited (KING'S STONE) has released the proxy form for its Annual General Meeting, scheduled for 17 September 2026 at 2:00 p.m. in Suite 1306, 13/F, Great Eagle Centre, 23 Harbour Road, Wan Chai, Hong Kong.

Key resolutions to be decided on a poll include:

1. Financial Statements • Adoption of the audited financial statements and the reports of the directors and independent auditors for the fiscal year ended 31 March 2026.

2. Board Composition and Remuneration • Re-election of executive directors Mr Mu Jiaming and Mr Zhang Yangguang. • Re-election of independent non-executive directors Mr Lam Williamson and Mr Li Sheung Him Michael. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Re-appointment • Re-appointment of HLB Hodgson Impey Cheng Limited as independent auditors, with authority for the board to fix their remuneration.

4. General Share Mandates • Authorisation for directors to issue new shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the resolution. • Authorisation for directors to repurchase shares up to 10% of issued share capital (excluding treasury shares). • Extension of the issuance mandate by the number of shares repurchased under the above authority.

Administrative details:

• Shareholders may appoint proxies; completed proxy forms must reach Boardroom Share Registrars (HK) Limited, Room 2103B, 21/F, 148 Electric Road, North Point, Hong Kong at least 48 hours before the meeting. • All resolutions will be voted on by poll in accordance with Hong Kong Listing Rule 13.39(4). • Attendance in person overrides any previously submitted proxy form.

The proxy form also outlines procedures for joint holders, personal data handling under the Personal Data (Privacy) Ordinance, and the right of shareholders with multiple votes to split their voting instructions as desired.
