Carry Wealth Holdings Limited (the “Company”) announced that, effective 9 July 2026, Mr. Lam Chi Wing has resigned from his roles as Independent Non-Executive Director (INED), Audit Committee member, and Chairman of both the Remuneration and Nomination Committees. The departure was attributed to “personal work adjustment.” Mr. Lam affirmed his independence under Listing Rule 3.13, confirmed no conflicts of interest with the Company or its core connected persons, and reported no disagreements with the Board.
The Board expressed appreciation for Mr. Lam’s service and, on the same date, appointed Mr. Lee Chan Wah, aged 57, as INED, Audit Committee member, and Chairman of the Remuneration and Nomination Committees. Mr. Lee holds a Bachelor of Business Administration from Hong Kong Baptist University (1991) and has been a member of both the Hong Kong Institute of Certified Public Accountants and the Association of Chartered Certified Accountants since 1996. His professional background spans more than 20 years in auditing, accounting, and finance.
Governance experience includes serving as an executive director of Zijing International Financial Holdings Limited (GEM code 8340) from 14 February 2022 to 10 July 2023, and as an INED of Shanghai International Shanghai Growth Investment Limited (Main Board code 770) since 30 January 2026.
Carry Wealth has entered into a one-year letter of appointment with Mr. Lee. He will receive fixed monthly remuneration of HK$0.01 million, determined with reference to his duties, qualifications, experience, and prevailing market levels. Mr. Lee has confirmed compliance with all independence criteria under Listing Rule 3.13 and reported no interests in the Company’s shares or relationships with its substantial or controlling shareholders.
Following these changes, the Board comprises: • Executive Directors: Mr. Li Xiaoming, Mr. Lee Chi Ho • Independent Non-Executive Directors: Mr. Lee Chan Wah, Ms. Li Qian
The Board welcomed Mr. Lee’s appointment, which maintains the required balance of independent oversight across the Audit, Remuneration, and Nomination Committees.
