Carry Wealth Plans Placement of Up to 179.97 Million New Shares, Aiming for Net Proceeds of Approximately HK$29 Million

Carry Wealth Holdings Limited (Stock Code: 00643) has announced the signing of a placement agreement with a placing agent on July 14, 2026.

Under the terms of the agreement, the placing agent has agreed to use its best efforts to place up to 179.97 million new shares to independent placees on behalf of the company, at a price of HK$0.1650 per share.

The maximum number of placement shares, 179.97 million, represents approximately 20.00% of the company's total issued share capital of 899.8 million shares as of the announcement date.

Upon completion of the placement and the resulting share capital expansion, the placement shares will constitute about 16.67% of the company's enlarged total issued share capital.

Assuming all placement shares are successfully placed, the net proceeds from the placement are estimated to be approximately HK$29 million after deducting all related expenses.

The company intends to allocate the net proceeds for several purposes, including expanding its subcontracting network and production capacity, establishing a joint venture for the "AIPHACAS" platform, and for general working capital requirements.
