On 25 August 2026, WuXi XDC Cayman Inc. approved the distribution of 342,300 restricted shares to 13 employees within the Group under its 2024 Share Scheme. The grant carries no purchase price and is based on a market price of HK$80.15 per share at the time of approval.
The vesting schedule stipulates that 25% of the awarded shares will vest on each anniversary of the grant date over a four-year period, contingent on annual performance evaluations aligned with the company’s appraisal system. A clawback mechanism empowers the Board to reclaim unvested or vested shares—and, if necessary, their cash equivalents—should a grantee be terminated for cause or convicted of an integrity-related criminal offense.
Following the issuance of these new shares, 20.83 million option or restricted shares remain available under the Scheme Mandate Limit, while 3.59 million shares remain reserved under the Service Provider Sublimit. The Board, including all independent non-executive directors, has deemed the grant fair, reasonable, and in the interests of shareholders.
No shareholder approval is required, and the grant does not trigger any individual limit breaches under Hong Kong Listing Rules. The recipients are not directors, chief executives, or substantial shareholders of WuXi XDC, nor are they associates of such persons.
