InvesTech Holdings Proposes Comprehensive Bye-Law Revisions to Support E-Governance, Treasury Shares and Uncertificated Securities

InvesTech Holdings Limited announced a plan to replace its existing bye-laws with an amended and restated version that aligns the company with the latest regulatory requirements of the Hong Kong Listing Rules.

Key elements of the proposed amendments include:

1. Electronic Governance Enhancements • Formal recognition of electronic or hybrid shareholder meetings and electronic voting. • Permission for electronic dissemination of corporate communications.

2. Capital Management Flexibility • Introduction of a framework allowing the company to hold treasury shares.

3. Digital Transactions for Shareholders • Enabling shareholders to give instructions, receive corporate action proceeds and pay subscription monies for new securities via electronic means.

4. Preparation for the Uncertificated Securities Market • Allowing shares to be held and transferred in uncertificated form to facilitate future market developments.

5. Housekeeping Updates • Consequential and administrative modifications to ensure internal consistency.

Implementation Timetable The revised bye-laws require approval by special resolution at the forthcoming annual general meeting. They will become effective upon shareholder endorsement. A circular detailing the changes and containing the AGM notice will be published in due course.

Governance Oversight The proposal was approved by the company’s board, chaired by Mr. Chan Sek Keung, Ringo, who also serves as Chief Executive Officer. The board currently consists of two executive directors, one non-executive director and three independent non-executive directors.
