Almana Limited (Stock Code 08186) disclosed a series of governance changes effective 13 April 2026, strengthening its management bench while reshaping three key board committees.
Executive appointment • Ms. Li Sha, 41, becomes an Executive Director under a three-year service agreement that can be terminated with three months’ notice. Her compensation is set at HK$10,000 per month plus discretionary bonus. Li brings cross-border immigration and financial-planning experience and holds a bachelor’s degree in economics from Beijing Forestry University. She currently has no shareholding in Almana under Part XV of the SFO.
Independent non-executive appointment • Mr. Shen Leyuan, 34, joins as an Independent Non-Executive Director (INED) and will sit on the Audit, Nomination and Remuneration Committees. Shen, a qualified lawyer in China and senior partner at Beijing Yingke Law Firm (Taiyuan Office), owns 170,000 Almana shares, equivalent to 0.15 % of issued capital—below the 1 % threshold referenced for independence. He will receive a monthly director’s fee of HK$15,000 under a three-year letter of appointment, also terminable with three months’ notice.
Resignation • Ms. Pang King Sze Rufina has resigned as INED and chairperson of the Audit, Nomination and Remuneration Committees to devote more time to other business commitments. She confirmed no disagreement with the board and no information requiring shareholder attention.
Committee re-organisation • Mr. Hon Ming Sang has been elevated to chair the Audit, Nomination and Remuneration Committees. • Mr. Shen Leyuan has joined each committee as a member.
