Hong Kong-listed Kingworld Medicines Group Limited (KINGWORLD, 01110) disclosed that on 11 June 2026 its related company Morning Gold Medicine Co. Ltd. signed two sets of non-legally-binding memoranda of understanding (MOUs) aimed at accelerating development and commercial roll-out of two proprietary Chinese medicine products—“Zizhu Leaf Cleansing Solution” and “Modified Gastrodia Brain-Health Formula”.
R&D MOUs • Parties: Morning Gold (51% owned by Chairman and Executive Director Mr Zhao Li Sheng; 49% by Executive Director Ms Chan Lok San) and Dongguan Hospital of Guangzhou University of Chinese Medicine (a Grade III Class A hospital). • Scope: Joint clinical research, regulatory registration and commercialisation of the two products. Morning Gold will fund development; both parties will seek additional public R&D grants in Hong Kong and Mainland China. • Intellectual property: New patents from the “Modified Gastrodia Brain-Health Formula” project will be co-owned (Morning Gold as first applicant), while patents from the “Zizhu Leaf Cleansing Solution” project will be registered to Morning Gold with the hospital as technical partner. • Economics: Upon commercial launch in Mainland China, net profit sharing is set at 80% to Morning Gold and 20% to the hospital for ten years, alongside a one-off technology transfer fee to be finalised in definitive agreements. • Development path: Initial target is registration of both products as HKC-category proprietary Chinese medicines in Hong Kong, followed by production, local and cross-border e-commerce sales, and later national drug registration in Mainland China.
Distribution MOUs • Morning Gold intends to appoint KINGWORLD and/or its wholly owned subsidiaries as sole and exclusive distributor in Hong Kong, Mainland China and cross-border e-commerce channels. • KINGWORLD will handle marketing, channel development and sales across retail, hospital and online platforms, while Morning Gold will ensure compliant production and supply continuity. • Roll-out will start in Hong Kong and cross-border channels post-HKC approval, expanding to Mainland China after national drug certification. Detailed commercial terms will be set in subsequent definitive agreements.
Governance and compliance Both the R&D and Distribution MOUs are non-binding; execution of definitive agreements is required before any transaction proceeds. As Morning Gold qualifies as a connected person, any eventual distribution agreement will constitute a connected transaction under Chapter 14A of the Hong Kong Listing Rules, and KINGWORLD pledges full compliance.
