Carry Wealth Extends New-Share Placement Period to 14 August 2026

Carry Wealth Holdings Limited has signed a supplemental placing letter with its placing agent to extend the deadline for completing its planned issue of new shares under the existing general mandate.

Originally set to close on 31 July 2026, the placing period has been pushed back by two weeks to 14 August 2026, allowing additional time to satisfy the outstanding condition precedent specified in the original placing agreement dated 14 July 2026. All other terms and conditions of that agreement remain unchanged.

The placing price is fixed at HK$0.1650 per share, which the company states represents (i) no difference from the closing price of HK$0.188 per share on the announcement date and (ii) a 17.3% discount to the five-day average closing price of HK$0.1994 per share immediately preceding the announcement.

Carry Wealth reiterates that the placement will proceed only upon fulfillment of its stated condition precedent and advises shareholders and investors to exercise caution when dealing in the company’s shares.

The board currently comprises Executive Directors Li Xiaoming and Chan Wai Ying, along with Independent Non-executive Directors Lee Chan Wah and Li Qian. The supplemental placing letter was signed on 31 July 2026 in Hong Kong.
