K W NELSON GP awards 2.40 million shares to eight employees, equal to 0.24% of issued capital

On 13 August 2026, K W Nelson Interior Design and Contracting Group Limited (K W NELSON GP) approved the grant of 2.40 million award shares to eight employees under its share award scheme adopted on 17 May 2021. The award shares, representing approximately 0.24% of the company’s total issued shares on the grant date, will be vested on 28 August 2026.

The award shares are granted at nil purchase price and carry no performance targets or claw-back provisions beyond the standard cessation-of-employment clauses set out in the scheme rules (e.g., fraud, misconduct, or regulatory breaches). No financial assistance was provided to participants for the acquisition of these shares.

The company noted that the shorter-than-12-month vesting period was determined after considering the grantees’ historical contributions, ongoing performance evaluations, and the objective of aligning employee and shareholder interests through near-term ownership incentives.

Following this grant, 47.20 million shares remain available for future awards under the scheme’s mandate limit. All awarded shares will be satisfied by shares already held by the scheme’s trustee; no new shares will be issued.

None of the grantees is a director, chief executive, substantial shareholder, or otherwise a connected person. Each individual’s cumulative grants over any 12-month period remain within the limits stipulated by Rule 23.03D(1) of the GEM Listing Rules.
