Elate Holdings Convenes Virtual AGM on 5 June 2026; Seeks 10% Buy-Back and 20% Issuance Mandates

Elate Holdings Limited will hold its 2026 Annual General Meeting (AGM) virtually on 5 June 2026 at 11:00 a.m. Key resolutions to be tabled include approval of the 2025 audited financial statements, re-election of directors, re-appointment of the auditor, and renewal of share buy-back and issuance mandates.

Core agenda • Financial statements: Shareholders will consider and adopt the audited results and the reports of directors and auditor for the year ended 31 December 2025. • Board composition: The meeting will vote on the re-election of Ms Zhang Xue as Executive Director and Dr Yan Shao Shi as Independent Non-Executive Director. The board will be authorised to determine their remuneration. • Auditor: McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment, with remuneration to be fixed by the board.

Share capital mandates • Share buy-back: Directors seek authority to repurchase up to 10% of the company’s issued shares during the mandate period, defined as the interval until the next AGM, statutory deadline or earlier revocation. • General issuance: A separate mandate proposes authorising directors to allot and issue shares up to 20% of the company’s issued share capital, excluding rights issues and other specified exemptions. • Mandate extension: Conditional on both mandates passing, the issuance limit may be increased by the number of shares repurchased, capping the enlarged limit at an additional 10%.

Logistics • Meeting format: The AGM will be conducted exclusively online. Shareholders may log in 30 minutes before the start time and must be connected at least 5 minutes prior to vote. • Book closure: The register of members will be closed from 2 June 2026 to 5 June 2026 (both days inclusive). Share transfers for AGM eligibility must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 1 June 2026. • Proxy arrangements: Shareholders entitled to attend and vote may appoint proxies; instruments of proxy must reach the registrar no later than 48 hours before the meeting.
