Hong Kong Exchanges and Clearing Limited (HKEX) confirmed that its Board has approved a three-year extension of Chief Executive and Executive Director Ms Chan Yiting, Bonnie’s employment contract, covering 1 March 2027 to 28 February 2030. The Securities and Futures Commission has granted statutory approval under Section 70(1) of the Securities and Futures Ordinance.

Under the renewed terms, Ms Chan will receive a basic salary of HK$12.00 million per annum. She remains eligible for a performance-related discretionary bonus and share awards, subject to Remuneration Committee recommendation and Board approval, and will continue to participate in HKEX’s provident funds and other employee benefits.

In her capacity as Chief Executive, Ms Chan will continue to serve on multiple HKEX committees, including the Board Executive Committee, China Advisory Group, Corporate Responsibility Committee and International Advisory Council, and she will chair the China Commodities Advisory Group. She is also an ex-officio member of The Stock Exchange of Hong Kong’s Main Board and GEM Listing Committee and sits on the Listing Policy Panel.

Ms Chan, aged 56, joined HKEX in January 2020 and assumed the CEO role on 1 March 2024. Her previous roles include HKEX Co-Chief Operating Officer (Feb 2023–Feb 2024), Head of Listing (Jan 2020–Jan 2023) and Head of IPO Transactions (2007–2010). External experience spans partnership at Davis Polk & Wardwell LLP (2010–2019) and executive directorship in Morgan Stanley’s legal and compliance division (2003–2007). She holds a Bachelor of Laws from The University of Hong Kong, an LLM from Harvard University, and is qualified as a solicitor in Hong Kong and attorney in New York.

As of the announcement date, Ms Chan owns 68,479 HKEX shares and has interests in a further 164,546 unvested shares under the company’s Employee Share Award Scheme. She has declared no relationships with any directors, senior management, substantial or controlling shareholders as defined by the Hong Kong Listing Rules.

HKEX’s Board currently comprises 12 Independent Non-executive Directors, chaired by Mr Carlson Tong, alongside one Executive Director, Ms Chan Yiting, Bonnie.
