Weichai Power has issued a notice convening an Extraordinary General Meeting (EGM) on 14 September 2026 at 2:50 p.m. in the company’s conference room, 197 Section A, Fu Shou East Street, Weifang, Shandong Province, PRC. Holders of H shares recorded on the register as of the close of business on 14 September 2026 are entitled to attend and vote, with share transfer documents required by 4:30 p.m. on 8 September 2026.
Key proposals to be tabled as ordinary resolutions:
1. Approval of the New CNHTC Supply Agreement signed 3 July 2026, together with the associated annual caps for transactions between the Group and China National Heavy Duty Truck Group (CNHTC).
2. Approval of the Supplemental Agreement to the Existing CNHTC Purchase Agreement, revising and extending related annual caps.
3. Approval of the Supplemental Agreement to the Existing Weichai Heavy Machinery Supply Agreement, including revised and new transaction caps.
4. Approval of the Supplemental Agreement to the Existing Weichai Heavy Machinery Purchase Agreement, covering purchases of diesel engines, generators, raw materials and related services, with updated caps.
5. Approval of the Supplemental Agreement to the Existing Shaanxi Automotive Sale Agreement, adjusting annual caps for sales of vehicles, parts and related services to Shaanxi Automotive and its associates.
6. Approval of the Supplemental Agreement to the Existing Shaanxi Automotive Purchase Agreement, revising caps for purchases of parts, scrap steel and services from Shaanxi Automotive and its associates.
7. Election of Mr. Liu Yi as an executive Director for a term commencing on the EGM date and ending at the conclusion of the 2026 annual general meeting.
Weichai Holdings and its associates will abstain from voting on the resolution concerning the New CNHTC Supply Agreement. The EGM is expected to last no more than half a day; shareholders will bear their own travel and accommodation costs.
