• Impact on share capital: – Outstanding shares (excluding treasury) fell 0.06% to 612.60 million. – Treasury stock increased to 5.90 million shares. – Total issued shares remained unchanged at 618.50 million, as the repurchased shares have been retained as treasury shares rather than cancelled.
• Repurchase mandate utilisation: – Shareholders authorised management on 27 June 2025 to buy back up to 61.85 million shares. – Cumulative repurchases under this mandate now stand at 5.90 million shares, representing 0.95% of the company’s issued share count on the mandate date, indicating ample remaining headroom.
• Post-repurchase restrictions: In line with Hong Kong listing rules, Hygeia Health is subject to a moratorium on issuing new shares or disposing of treasury shares until 19 June 2026.
