GRCB Proposes RMB0.46 Final Dividend per 10 Shares for FY2025; Payment Slated for 24 Jul 2026

Guangzhou Rural Commercial Bank Co., Ltd. (GRCB) has declared an ordinary final dividend of RMB0.46 per 10 shares for the financial year ended 31 December 2025. The proposal remains subject to shareholder approval, with the meeting date yet to be announced.

Dividend distribution will be made in Hong Kong dollars, with the applicable exchange rate to be disclosed closer to the payment date. Key timeline items—including the ex-dividend date, book-close period, and record date—will also be announced in due course. The dividend is scheduled for payment on 24 July 2026 via the Bank’s Hong Kong share registrar, Computershare Hong Kong Investor Services Limited.

Withholding tax will be applied in accordance with PRC tax regulations: • Non-resident enterprise shareholders: 10% corporate income tax will be withheld, subject to any prevailing tax treaty benefits. • Non-resident individual shareholders: tax rates of 10% or 20% will apply depending on the shareholder’s country-specific treaty with China; treaty rates below 10% will be applied where eligible.

No warrants or convertible securities are affected by this dividend announcement. The Board currently comprises three executive directors, eight non-executive directors, and five independent non-executive directors.
