Hygeia Healthcare Holdings Co., Limited (Hygeia Healthcare) has filed its Monthly Return for the period ended 30 April 2026, detailing a continuation of its share buy-back programme and stability in authorised capital.

Authorised Capital • No change during the month: 5.00 billion ordinary shares with a par value of USD 0.00001 each, equivalent to total authorised capital of USD 50,000.

Issued and Treasury Shares • Total issued share count (including treasury shares) remained at 618.50 million. • Shares outstanding (excluding treasury shares) fell to 613.52 million, down by 2.16 million from the prior month. • Treasury shares increased by the same 2.16 million to 4.98 million. • The company confirmed compliance with Hong Kong’s minimum 25% public-float requirement.

Share Repurchases • Hygeia Healthcare repurchased a cumulative 2.16 million shares on 10 trading days between 2 April and 30 April 2026. All repurchased shares are held in treasury.

Equity-linked Instruments • Under the 15 October 2021 share option scheme, 1.21 million options lapsed in April, leaving 3.59 million options outstanding. • The scheme allows for up to 18.54 million shares to be issued or transferred from treasury upon future exercises. • No new shares were issued and no treasury shares were transferred during the month under this scheme.

Liquidity and Capital Position • The consistent authorised capital and maintenance of the full 618.50 million issued share base signal stability in the company’s capital structure. • Ongoing buy-backs reduced free-float shares but did not breach Hong Kong Exchange public-float thresholds.
