Elate Holdings Schedules 5 June 2026 Virtual AGM to Ratify 2025 Financials, Board Changes and Share Mandates

Elate Holdings Limited will convene its Annual General Meeting (AGM) on 5 June 2026 at 11:00 a.m. via virtual platform. Shareholders are set to vote on six ordinary resolutions covering financial statements, board composition, auditor appointment and capital management authorities.

The board seeks approval to receive and adopt the audited financial statements and directors’ and auditor’s reports for the financial year ended 31 December 2025.

Two directors are up for re-election: executive director Ms. Zhang Xue and independent non-executive director Dr. Yan Shao Shi. Shareholders will simultaneously authorise the board to determine their remuneration.

McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment as external auditor, with the board empowered to fix its fees.

Capital management items include: 1. A general mandate allowing the board to repurchase the company’s own shares. 2. A general mandate to allot and issue new shares. 3. An extension of the issue mandate equivalent to the number of shares repurchased under the above authority.

Shareholders may appoint the chairman of the meeting or another proxy to vote on their behalf. Completed proxy forms and relevant authorisations must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting.
