Shimao Group Receives SSE Censure; Chairman Hui Declared Unsuitable for Director or Executive Roles Until 2032

Shimao Group Holdings Limited reported that the Shanghai Stock Exchange (SSE) has delivered a Decision on Disciplinary Measures regarding an information-disclosure violation by subsidiary Shanghai Shimao. The SSE has:

• Issued a public censure against Shanghai Shimao and Chairman-President Mr. Hui Sai Tan, Jason. • Ruled that Mr. Hui is unsuitable to serve as a director, supervisor or senior executive of any PRC-listed issuer for six years, effective immediately.

The Board—excluding Mr. Hui, who abstained—stated that the disciplinary action is not expected to have a material adverse impact on the Group’s business or operations. Management will continue to evaluate the implications of the SSE ruling, including Mr. Hui’s director suitability under Hong Kong Listing Rule 3.08, and will release further disclosures if material developments arise.

As of 24 August 2026, the Board consists of: • Executive Directors: Mr. Hui Sai Tan, Jason (Chairman and President), Mr. Zhao Jun • Non-executive Director: Ms. Hui Mei Mei, Carol • Independent Non-executive Directors: Mr. Lyu Hong Bing, Mr. Lam Ching Kam, Mr. Fung Tze Wa

No additional information concerning Mr. Hui requires disclosure under Listing Rules 13.51(2)(h)–(v).
