HARBOUR DIGITAL Asset Capital Limited announced a proposed rights issue aimed at raising up to HK$74.50 million before expenses. Key details are as follows:
• Offer Structure: Three rights shares for every two existing shares held by qualifying shareholders as of the 15 September 2026 record date.
• Pricing: Subscription price set at HK$0.140 per rights share, reflecting a 19.10% discount to the HK$0.173 closing price on the last trading day (26 May 2026) and an 84.40% discount to the audited net asset value of HK$0.90 per share as at 31 December 2025.
• Fundraising Size: Up to 532.23 million new shares may be issued, expanding the share count from 354.82 million to 887.05 million. Net proceeds are estimated at HK$73.10 million after approximately HK$1.40 million in expenses.
• Use of Proceeds: Around HK$32.00 million for investments in listed securities in Hong Kong, the PRC and the United States; approximately HK$35.00 million for investments in listed and/or unlisted corporate debt securities in Hong Kong and the United States; and about HK$6.10 million for general working capital, all targeted for deployment by 31 March 2028.
• Underwriting & Placing: The rights issue is not underwritten. Any unsubscribed or non-qualifying rights shares will be placed on a best-effort basis by Suncorp Securities Limited at not less than the subscription price, subject to a 3% placing commission. Unplaced shares will not be issued, reducing the final offer size accordingly.
• Key Dates: – Shares trade ex-rights: 7 September 2026 – Nil-paid rights trading: 18–25 September 2026 – Latest time for acceptance and payment: 30 September 2026 – Placing period (if required): 9–22 October 2026 – Listing of fully paid rights shares: 2 November 2026
• Approval Process: The proposal requires independent shareholders’ approval at an extraordinary general meeting scheduled for 3 September 2026.
• Shareholding Impact: Full subscription would maintain existing proportional interests. If no shareholders subscribe and all unsubscribed shares are placed, public shareholders’ aggregate stake could decline from 99.79% to 39.92%.
The company cites the need to bolster liquidity and fund future investment opportunities as the primary rationale for the capital raise.
