SoftMedx Healthcare Limited (SOFTMEDX) has issued a notice convening an Extraordinary General Meeting (EGM) for 11:00 a.m. on 15 May 2026 at 20/F, Lee Garden One, 33 Hysan Avenue, Causeway Bay, Hong Kong.
Key proposal • Share Consolidation: Management seeks shareholder approval to consolidate every 20 existing ordinary shares into 1 consolidated share. All consolidated shares will rank pari passu with identical rights and restrictions under the company’s articles of association. • Fractional treatment: Fractional consolidated shares will not be issued to individual shareholders. Instead, fractions will be aggregated, sold if practicable, and any proceeds retained for the benefit of the company.
Conditions The consolidation is conditional on: 1. Approval of the ordinary resolution at the EGM. 2. Granting by the Listing Committee of The Stock Exchange of Hong Kong Limited of listing and dealing permission for the consolidated shares. 3. Compliance with all applicable Hong Kong laws and Listing Rules procedures.
Effective date Implementation will take effect on the later of: a) the second business day after the resolution is passed; or b) the date on which all regulatory conditions are fulfilled.
Book closure The register of members will be closed from 12 May 2026 to 15 May 2026 (both dates inclusive). To qualify for attendance and voting, share transfer documents must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 11 May 2026.
Board composition As of the notice date (23 April 2026), the board comprises one executive director, Mr. Lin Pinzhuo, and three independent non-executive directors: Mr. Ngok Ho Wai, Ms. Tang Cuihuen, and Mr. Yiu Chun Wing.
Shareholders are urged to review the circular and attend or appoint proxies for the forthcoming EGM to decide on the proposed capital restructuring.
