Elate Holdings Holds Share Base Steady at 444.40 Million in April; HKD 0.51 Billion Convertibles Remain Outstanding

Elate Holdings Limited (Elate) reported no changes to its share capital for April 2026. The number of issued ordinary shares stayed at 444.40 million, with no treasury shares on record. The company confirmed that its public float continues to meet the Main Board’s minimum 25 per cent requirement.

Convertible Instruments • Two tranches of convertible debentures remain outstanding, together amounting to HKD 513.32 million: – HKD 492.51 million debentures convertible at HKD 1.20 per share, carrying the right to be exchanged into up to 410.43 million new shares. – HKD 20.81 million debentures convertible at HKD 0.305 per share, representing a further 68.24 million shares that could be issued.

• In total, the convertibles could add up to 478.67 million shares—exceeding the current issued share capital—if fully exercised.

Capital Activity • No share options, warrants, other convertibles, or additional share-issuing arrangements were reported for the month. • There were no share repurchases, cancellations, or transfers of treasury shares.

Compliance Statement Elate’s board affirmed that all regulatory requirements under the Hong Kong Listing Rules were observed for the period ended 30 April 2026.
