InvesTech Holdings Limited announced a conditional placing agreement on 13 May 2026 to issue up to 39.98 million new shares under its existing general mandate. The transaction represents 20.00% of the current issued share capital and 16.67% of the enlarged share base, increasing total shares outstanding to 239.87 million upon completion.

The shares will be placed at HK$0.67 each—15.19% below the 13 May closing price of HK$0.79 and 18.29% beneath the five-day average of HK$0.82. Central Wealth Securities Investment Limited will act as placing agent on a best-effort basis and receive a 3.0% commission. The net placing price, after estimated expenses of HK$1.00 million, is approximately HK$0.65 per share.

Gross proceeds are expected to reach HK$26.80 million, with net proceeds of about HK$25.80 million. Management plans to allocate 90% (HK$23.22 million) to repay promissory notes and other borrowings, which stood at RMB256.90 million as at 31 December 2025, and the remaining 10% (HK$2.58 million) to general working capital.

Post-placement, the largest shareholder, Mr. Wong Tai Kuen, will see his stake diluted from 29.89% to 24.90%. Public float will expand, with placees collectively holding 16.67% of the company. No individual placee is expected to become a substantial shareholder.

The new shares will rank pari passu with existing shares. Completion is subject to Stock Exchange listing approval; if this condition is not met by 1 June 2026, the agreement will lapse. As the issuance falls within the company’s general mandate, no further shareholder approval is required.
