Hygeia Healthcare Holdings Co., Limited disclosed a share repurchase executed on 22 May 2026. The company bought back 385,800 ordinary shares on the Hong Kong Stock Exchange, equivalent to 0.063 % of its outstanding share capital (excluding treasury shares).

The repurchases were made within a price range of HKD 10.28 to HKD 10.42 per share, resulting in a volume-weighted average price of HKD 10.36. Total cash consideration reached HKD 4.00 million.

Following the transaction, issued shares outstanding (excluding treasury shares) fell to 612.21 million, while treasury shares rose to 6.29 million. The total issued share count remains unchanged at 618.50 million.

The buyback forms part of a mandate approved on 27 June 2025 that authorises repurchases of up to 61.85 million shares. To date, 6.29 million shares—or 1.02 % of the issued share base at the mandate date—have been repurchased under this authorisation, leaving significant capacity for further repurchases.

Under Hong Kong Listing Rules, Hygeia Healthcare is now subject to a moratorium on issuing new shares or selling treasury shares until 21 June 2026.

Executive Director Ren Ai confirmed the repurchase complied with all relevant regulatory requirements and the terms of the board-approved mandate.
