Kaisa Health Group Holdings Limited will convene a Special General Meeting on 22 June 2026 at 11:00 a.m. in Hong Kong to seek shareholder approval for two principal matters.

1. Acquisition Agreement and Consideration Shares • Shareholders will vote to approve, confirm and ratify an agreement detailed in the circular dated 2 June 2026, together with all related transactions. • Directors are requesting a special mandate to allot and issue the related consideration shares. • Authority will also be given to any director to execute the documents and actions necessary to complete the transaction.

2. 50-to-1 Share Consolidation • The board proposes to consolidate every 50 issued and unissued ordinary shares of HK$0.00125 par value into one consolidated share of HK$0.0625. • Directors will be authorised to arrange settlement and disposal of any fractional entitlements arising from the exercise. • Additional authority is sought for directors to execute all documents and actions required to implement the consolidation.

Voting Method All resolutions will be decided by poll, with each fully paid share carrying one vote.

Logistics Shareholders recorded on the register may appoint one or more proxies; the form of proxy must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting.

The meeting will take place at Conference Room Luxe Lab, 20/F, Office Plus @Sheung Wan, 93-103 Wing Lok Street, Sheung Wan, Hong Kong.
