China SCE Group Holdings Limited has issued a notice convening an extraordinary general meeting (EGM) on 28 May 2026 at 4:45 p.m. (R2, United Conference Centre, 10/F, United Centre, 95 Queensway, Admiralty, Hong Kong). Three ordinary resolutions will be tabled:
1. Mandatory Convertible Bonds (MCB) Issue • Shareholders will vote on ratifying the proposed issue of MCBs that are convertible into ordinary shares of China SCE Group. • A specific mandate is sought authorising the board to allot and issue the corresponding MCB conversion shares and to handle all related documentation.
2. New Share Issue • Approval is requested for a separate placement of new ordinary shares (“New Shares”), with directors to be granted a specific mandate to allot, issue and deal with these shares. • The board will be empowered to sign and execute all documents necessary to complete the share issue.
3. Increase in Authorised Share Capital • The company proposes to raise its authorised share capital by HK$200.00 million, from HK$1.00 billion (10.00 billion shares) to HK$1.20 billion (12.00 billion shares), through the creation of an additional 2.00 billion unissued shares ranking pari passu with existing shares. • Directors will be authorised to carry out all actions required to implement the increase.
Key administrative details • The shareholder register will be closed from 22 May 2026 to 28 May 2026 (both days inclusive); transfers must be lodged by 4:30 p.m. on 21 May 2026 to qualify for attendance and voting. • Proxy forms must be deposited with Computershare Hong Kong Investor Services Limited by 4:45 p.m. on 26 May 2026, 48 hours before the meeting. • Shareholders may appoint one or more proxies; joint holders may vote as stipulated in the notice.
The board currently comprises four executive directors—Wong Chiu Yeung, Cheng Hiu Lok, Huang Youquan and Zhang Haitao—and three independent non-executive directors—Ting Leung Huel Stephen, Dai Yiyi and Mao Zhenhua.
