Famous Tech Int Adopts Fourth Amended and Restated Bye-Laws to Modernise Corporate Governance

Famous Tech International Holdings Limited (“Famous Tech Int”, 08100) confirmed that shareholders passed a special resolution on 2 June 2026 to adopt the Fourth Amended and Restated Bye-Laws, replacing the version previously in force.

Key updates are summarised below:

1. Share Capital Management • The Board may repurchase shares for cancellation or hold them as treasury shares without securing a separate board resolution for each transaction. • Provisions allow financial assistance for share purchases, subject to GEM Listing Rules.

2. Digital & Hybrid Shareholder Engagement • General meetings can now be held physically, electronically or in hybrid form. • Electronic facilities, multiple “Meeting Locations”, and detailed rules for postponement, adjournment and quorum in virtual settings are incorporated. • Members can lodge proxies and exercise voting rights electronically.

3. Electronic Communication & Payments • Notices, corporate communications, dividend election instructions and other shareholder documents may be distributed by email, website posting or other electronic means. • Dividends and corporate‐action proceeds can be paid via Hong Kong’s real-time gross settlement system or similar electronic channels.

4. Uncertificated Securities Regime • The company may issue, hold and transfer shares in uncertificated form through approved electronic systems, complying with the Securities and Futures (Uncertificated Securities Market) Rules.

5. Board & Governance Powers • Clarifies directors’ authority to present winding-up petitions, appoint alternate directors, and establish regional boards or power-of-attorney structures. • Introduces indemnity and limitation-of-liability clauses for directors and officers, excluding fraud or dishonesty.

6. Capitalisation & Subscription Rights Reserve • Enables scrip dividends, share option funding and the establishment of a “Subscription Rights Reserve” to support warrant exercises while maintaining share par value.

7. Audit & Accounting • Confirms annual audit requirements, Member access to summary financial statements and digital delivery of accounts.

The revised Bye-Laws are effective immediately, positioning Famous Tech Int to operate with enhanced flexibility, stronger digital capabilities and closer alignment with Hong Kong’s evolving corporate regulatory environment.
