Ye Xing Group to Seek 20% Share Issuance Mandate at 30 June 2026 AGM

Ye Xing Group Holdings Limited has issued a supplemental circular ahead of its Annual General Meeting (AGM) scheduled for 10:00 a.m. on 30 June 2026 in Beijing. The Board will ask shareholders to approve an additional ordinary resolution granting directors a general mandate to allot, issue, sell or transfer treasury shares representing up to 20% of the company’s issued share capital, excluding treasury shares.

As of the latest practicable date (15 June 2026), Ye Xing Group has 405.31 million fully paid ordinary shares outstanding. If the mandate is approved and no further shares are issued or bought back before the AGM, directors would be authorised to issue up to 81.06 million new shares.

The Board emphasised that it has no immediate plans to exercise the mandate. The supplemental resolution will be voted on by poll, together with the other resolutions detailed in the original AGM notice dated 8 June 2026.

Shareholders intending to vote by proxy must submit the supplemental form of proxy to Tricor Investor Services Limited no later than 10:00 a.m. on 28 June 2026. Completion of proxy forms will not preclude shareholders from attending and voting in person.
