HARBOUR DIGITAL Updates Placing Terms; New Subscription Window Set for 9–22 Oct 2026

HARBOUR DIGITAL (Harbour Digital Asset Capital Limited) signed a supplemental agreement with SunCorp Securities Limited on 7 Aug 2026, revising key elements of the existing Placing Agreement linked to its ongoing Rights Issue and Placing exercise.

Key amendments:

1. Placing Period • The placement of Unsubscribed Rights Shares and Non-Qualifying Shareholders’ (NQS) Unsold Rights Shares will now run from the first business day after the Company discloses the final allotment numbers—currently expected to be Friday, 9 Oct 2026—through 4:00 p.m. on Thursday, 22 Oct 2026.

2. Rights Issue Record Date • Share entitlements will be determined based on shareholdings as of Tuesday, 15 Sep 2026, unless the Company sets a different date.

3. Termination Provisions • SunCorp Securities may terminate its engagement at any time up to 4:00 p.m. on Friday, 23 Oct 2026 (or another mutually agreed date) in the event of force majeure that prevents either party from fulfilling its obligations. • The Placing Agent is also entitled to immediate termination if a material adverse change in Harbour Digital’s business or operating environment is identified.

All other terms and details disclosed in the earlier announcements dated 26 May, 2 Jul, and 23 Jul 2026 remain unchanged. The Board continues under the leadership of Executive Director Ms. Shum Kit Lan Anita, alongside one non-executive and three independent non-executive directors.
