Guotai Junan International (GTJAI): UBS AG Lifts Convertible Note Holding to 7.18% Through HK$24.50 Million Purchase

On 24 August 2026, the Executive received a Rule 22 disclosure under the Hong Kong Code on Takeovers and Mergers in relation to the proposed privatisation of Guotai Junan International Holdings Ltd (GTJAI) by way of scheme of arrangement.

According to the filing, UBS AG—classified as a Class (6) associate of the offeree—executed two on-market purchases of GTJAI convertible bonds/notes on 21 August 2026:

• 5.66 million units at HK$2.8850 each, lifting its holding to 681.36 million units, equivalent to 7.15 % of the relevant securities class. • An additional 2.83 million units at the same price, bringing its aggregate position to 684.19 million units, or 7.18 % of the class.

The combined acquisition of 8.49 million units represents an outlay of approximately HK$24.50 million. All transactions were executed for UBS AG’s own account. UBS AG is ultimately owned by UBS Group AG.
