ZYLOXTB cuts outstanding H-share float by 0.013% through HK$0.93 million on-market buyback

Zylox-Tonbridge Medical Technology Co., Ltd. (ZYLOXTB) disclosed a minor capital adjustment following an on-market share repurchase conducted on 24 August 2026.

Key transaction details • Volume repurchased: 44,500 H shares (approx. 0.013% of issued shares before the buyback). • Price range: HK$20.52–HK$20.98 per share, implying a volume-weighted average cost close to HK$20.84. • Total consideration: HK$0.93 million. • Method: On-market purchase under the Exchange’s repurchase rules.

Post-transaction share capital • Issued shares (excluding treasury shares) decreased to 323.63 million. • Treasury share balance rose to 12.72 million. • Total issued shares remained unchanged at 336.35 million, as the repurchased stock is held in treasury.

Repurchase mandate utilisation • Shareholders approved a mandate on 13 May 2026 to buy back up to 32.72 million shares. • Cumulative repurchases under this mandate now total 3.82 million shares, equivalent to 1.14% of the company’s issued share count at the mandate date. • Following the latest transaction, Zylox-Tonbridge is restricted from issuing, selling, or transferring shares until 23 September 2026, in line with Hong Kong listing rules.

The board confirmed that the repurchase complied with all applicable regulations and that all necessary authorisations and filings have been completed.
