Sundy Service schedules 5 June 2026 AGM to endorse FY25 results, board changes and refreshed share mandates

Sundy Service Group Co. Ltd has circulated a proxy form for its annual general meeting (AGM) to be held on 5 June 2026 at 3:00 p.m. in Hangzhou, Zhejiang Province, PRC.

Key agenda items: 1. Financial statements: Shareholders will be asked to receive and approve the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board composition: • Re-election of Mr. Zhang Zhenjiang as an executive director. • Re-election of Mr. Zhu Haoxian as an independent non-executive director. • Re-election of Ms. Ye Qian as an independent non-executive director.

3. Remuneration: Authorisation for the board to determine directors’ remuneration.

4. Auditor: Consideration of the re-appointment of Crowe (HK) CPA Limited and authorisation for the board to fix the auditor’s remuneration.

5. Share mandates: • A general mandate empowering the board to issue, allot and deal with unissued shares. • A separate mandate permitting the repurchase of the company’s own shares. • Authority to extend the issue mandate by the number of shares repurchased under the buy-back mandate.

Logistics: Completed proxy forms, together with any applicable authorisations, must be deposited with Computershare Hong Kong Investor Services Limited by 3:00 p.m. on 3 June 2026, 48 hours before the AGM. All resolutions will be decided by poll.
