China Sinostar Group Company Limited has issued a circular convening its Annual General Meeting for 11:00 a.m. on 31 August 2026 at Room 6, 3/F, Tower 2, South Seas Centre, Tsim Sha Tsui, Hong Kong.
Key proposals to be voted on:
1. Share Repurchase Mandate • Directors seek authority to buy back up to 10% of issued share capital, equivalent to 25.48 million shares based on the current 254.84 million shares outstanding. • Repurchases may be funded from distributable profits, share premium or contributed surplus in accordance with Bermuda law.
2. Share Issuance Mandate • Board requests a fresh mandate to allot and issue up to 20% of share capital, or 50.97 million new shares. • An extension would add shares repurchased under the buyback mandate to the issuance limit.
3. Board Composition • Re-election of three retiring directors: – Mr Wang Jing (Executive Director, Chairman) – Mr Su Bo (Independent Non-Executive Director, Audit Committee Chair) – Ms Liu Xiaofeng (Independent Non-Executive Director) • The Nomination Committee confirms independence for Mr Su and Ms Liu and supports all three candidates.
4. Auditor Re-appointment • Forvis Mazars CPA Limited nominated to continue as external auditor. • Estimated audit fee ranges between HK$0.80 million and HK$0.90 million for FY 2026/27.

• Shareholders’ register will close from 26 August 2026 to 31 August 2026 (both days inclusive). • Proxy forms must be lodged with Tricor Investor Services at least 48 hours before the meeting. • All resolutions will be decided by poll.
The Board recommends shareholders vote in favour of all agenda items.
