Baijuyi Holdings Sets 25 June 2026 AGM; Share Mandates, Board Re-elections and Bye-law Update on Agenda

Baijuyi Holdings Group Limited will convene its annual general meeting at 10 a.m. on Thursday, 25 June 2026, at Poolside Zone 1, 2/F, Royal View Hotel, Tsuen Wan, Hong Kong. Shareholders will vote on seven resolutions comprising six ordinary items and one special resolution.

Key ordinary resolutions: 1. Adoption of the audited consolidated financial statements for the year ended 31 December 2025 together with directors’ and auditors’ reports. 2. Board composition: • Re-election of Executive Director Mr Xiao Zhengjun. • Re-election of Independent Non-executive Directors Mr Chan Ming Kit and Mr Tong Hin Sum, Paul. • Authorisation for the board to set directors’ remuneration. 3. Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor, with fee determination delegated to the board. 4–6. Authorisation of general mandates enabling the board to: • Repurchase the company’s shares. • Allot, issue and otherwise deal with additional shares. • Extend the share issuance mandate by adding any shares repurchased under the buy-back mandate.

Special resolution: 7. Approval of proposed amendments and adoption of the company’s second amended and restated bye-laws, effective immediately after the AGM’s close.

Shareholders intending to vote by proxy must submit completed proxy forms to Computershare Hong Kong Investor Services Limited by 10 a.m. on Tuesday, 23 June 2026, at least 48 hours before the meeting.
