Kaisa Prosperity Holdings Limited will convene its annual general meeting (AGM) on 18 June 2026 at 16:00 in Sheung Wan, Hong Kong. Shareholders of record as of the close of business on the meeting date are entitled to attend and vote; the register of members will be closed from 15–18 June 2026 to determine eligibility, with share transfers required by 16:30 on 12 June 2026.
Key resolutions to be tabled:
• Financial Statements: Shareholders will vote on the adoption of the directors’ report, audited consolidated financial statements, and independent auditor’s report for the year ended 31 December 2025.
• Board Composition: The Board proposes the re-election of executive directors Liu Lihao, Liao Chuanqiang and Kwok Hiu Kwan, as well as independent non-executive director Liu Hongbai. Director remuneration will be fixed by the Board following shareholder authorisation.
• Auditor Appointment: ZSZH (HK) Fuson CPA Limited is nominated for re-appointment as external auditor, with authority for the Board to determine its remuneration.
• Share Buy-Back Mandate: Management seeks approval to repurchase up to 10% of issued shares (excluding treasury shares) during the mandate period ending at the next AGM or earlier if revoked.
• Share Issuance Mandate: The Board requests authority to allot, issue or resell treasury shares totaling up to 20% of the existing issued share capital, excluding treasury shares, with a concurrent proposal to extend this mandate by an additional 10% corresponding to any shares repurchased under the buy-back mandate.
• 2026 Share Scheme: A new equity incentive plan is proposed, permitting the grant of options and awards covering up to 10% of issued shares (excluding treasury shares) as of the approval date. The Board would be empowered to administer the scheme, issue new shares, transfer treasury shares, and execute related transactions.
Proxy voting forms must reach Computershare Hong Kong Investor Services Limited at Hopewell Centre no later than 48 hours before the meeting. Completion of a proxy form does not preclude shareholders from attending and voting in person.
As of the notice date (26 May 2026), the Board comprises six executive directors—Kwok Ying Shing (Chairman), Liu Lihao, Liao Chuanqiang, Kwok Hiu Kwan, Zhao Jianhua and Mou Zhaohui—and three independent non-executive directors: Liu Hongbai, Ma Xiumin and Chen Bin.
