Lerado Financial Group Company Limited will ask shareholders to renew key mandates and vote on board matters at its annual general meeting scheduled for 25 June 2026 in Hong Kong.
Key proposals:
• Equity issuance capacity: Directors seek a fresh general mandate to allot and issue shares up to 20% of the company’s issued share capital, equivalent to 46.06 million shares based on the 230.32 million shares outstanding as at 22 April 2026.
• Share repurchase authorisation: The board requests approval to repurchase up to 10% of issued shares, or 23.03 million shares. Repurchased shares may be cancelled or held as treasury stock, subject to regulatory limits.
• Mandate extension: If both mandates pass, the share issuance limit will be enlarged by the amount of shares actually repurchased under the buy-back authority.
• Board composition: Executive Director Ms. Ho Kuan Lai and Independent Non-executive Director Mr. Yu Tat Chi Michael retire by rotation and offer themselves for re-election.
• Auditor re-appointment: McMillan Woods (Hong Kong) CPA Limited is nominated to continue as external auditor for the year ending 31 December 2026; the audit fee is estimated at HK$0.70 million.
