Holdings Firm Receives Shareholder Objection to Placement and Demands for Board Ouster; Deal Paused

CARRY WEALTH (SEHK: 00643) has announced that on July 15, 2026, the company received a letter purportedly issued by MARS Worldwide Holdings Limited and signed by a Mr. Lee Chak Fai, claiming to be a director of MARS.

In the letter, MARS expressed opposition to a proposed share placement, arguing it would dilute its equity and voting rights, as well as the interests of existing shareholders. MARS demanded that the directors refrain from allotting or issuing any shares under the general mandate granted at the company's Annual General Meeting on June 5, 2026, pending the holding of an Extraordinary General Meeting.

It further requested the company convene an EGM to consider withdrawing the general mandate, instructing the board not to proceed with the placement, removing all incumbent directors, and appointing five new directors.

The company stated that the contents of the letter represent solely the sender's views, which it has not adopted or verified. It clarified it is not involved in any disputes between the applicant, Mr. Lee, Zephyrus Capital Limited, MARS, and/or a Mr. Sun Banggui, and will not comment on their merits.

As of the announcement date, the company has not allotted or issued any placement shares, nor any shares under the general mandate. While a stop notice prohibits the transfer of certain shares and the payment of dividends on them, it does not prohibit the company from allotting or issuing new shares.

The board has resolved to temporarily suspend the placement pending receipt of satisfactory legal advice confirming no legal obstacles to proceeding. The board's inclination is to continue with the placement under the agreement's terms once such advice is obtained.

The company is in contact with its legal advisors regarding this opinion, though the timing for its provision remains uncertain. At the company's request, trading in its shares on The Stock Exchange of Hong Kong was suspended from 9:00 a.m. on Thursday, July 16, 2026, pending this announcement.
