VCREDIT AGM: All Resolutions Secure Unanimous Shareholder Support

VCREDIT Holdings Limited reported that every proposal tabled at its 12 June 2026 annual general meeting (AGM) was approved with 100.00 percent of the votes cast in favour. A total of 368.39 million shares were voted on each resolution, with zero votes against.

Key resolutions passed included: • Adoption of the audited financial statements and reports for the year ended 31 December 2025. • Re-election of directors Mr. Liu Sai Wang Stephen, Mr. Yip Ka Kay and Mr. Fang Yuan. • Authorisation for the board to set directors’ remuneration. • Re-appointment of PricewaterhouseCoopers as auditor and approval for the board to determine its fees. • Granting of general mandates to the board to repurchase shares, issue new shares (including treasury shares) and extend the issue mandate.

Capital structure and voting base: • Issued and fully paid shares: 489.46 million. • Shares held under the company’s No. 1 Share Award Scheme (non-voting): 4.78 million. • Shares entitled to vote: 484.68 million. • The company holds no treasury shares and has no repurchased shares pending cancellation.

Compliance details: • No shareholders were required to abstain under Hong Kong Listing Rule 13.40, and no shareholder indicated an intention to vote against any resolution. • Tricor Investor Services Limited served as the scrutineer for vote counting. • All directors attended the AGM except Mr. Fang Yuan, who was absent due to other business commitments.

With unanimous backing, VCREDIT’s board retains full authority to execute its strategic, capital-management and governance plans for the coming year.
