Kaisa Prosperity Holdings Limited has issued a proxy form for its annual general meeting scheduled for 18 June 2026 at 4:00 p.m. in Hong Kong. Shareholders are invited to vote in person or by proxy on 11 ordinary resolutions covering governance, remuneration and capital management matters.
Key proposals include:
1. Financial Statements: Adoption of the directors’ report, audited consolidated financial statements and independent auditor’s report for the year ended 31 December 2025.
2. Board Composition: Re-election of four directors—Mr Liu Lihao, Mr Liao Chuanqiang and Mr Kwok Hiu Kwan as executive directors, and Mr Liu Hongbai as an independent non-executive director.
3. Director Remuneration: Authorisation for the board to determine directors’ remuneration.
4. Auditor: Re-appointment of ZSZH (HK) Fuson CPA Limited (formerly SFAI (HK) CPA Limited) as the company’s external auditor and authorisation for the board to fix the auditor’s remuneration.
5. Capital Mandates: • General mandate to repurchase the company’s shares. • General mandate to allot, issue and deal with additional shares, including the sale of treasury shares. • Authority to extend the issuance mandate by an amount equivalent to the shares repurchased under the buy-back mandate.
6. Incentive Plan: Adoption of the 2026 share scheme to align employee incentives with long-term shareholder interests.
Shareholders of record may appoint one or more proxies, with completed proxy forms required to be lodged with Computershare Hong Kong Investor Services Limited at least 48 hours before the meeting. Attendance in person will supersede submitted proxies.
