FAMOUS TECH INT Schedules 2 Jun 2026 AGM; Seeks Approval for 10% Buyback, 20% Issuance Mandates and Bye-law Overhaul

Famous Tech International Holdings Limited (FAMOUS TECH INT) has issued a circular convening its annual general meeting (AGM) for 10:00 a.m. on 2 Jun 2026 at Room A, 3/F, OfficePlus@SheungWan, Hong Kong.

Key resolutions to be tabled:

1. Capital mandates • Repurchase Mandate: authorisation to buy back up to 10% of issued shares, equivalent to 44.44 million shares based on the current share capital of 444.45 million shares. • General Mandate: authority to issue up to 20% of issued shares, or 88.89 million shares. • Extension Mandate: the number of shares actually repurchased may be added to the issuance limit. These mandates will remain in force until the next AGM or earlier revocation.

2. Board composition • Re-election of Executive Chairman Mr Wong Jing Shong and Independent Non-Executive Director Ms Wong Chi Yan. • Both retire by rotation under Bye-law 84 and offer themselves for re-election.

3. Auditor • Re-appointment of RSM Hong Kong as external auditor for the year ending 31 Dec 2026. • Expected audit fee: HK$1.10–1.20 million, exclusive of out-of-pocket expenses.

4. Bye-law amendments • Adoption of a fourth amended and restated set of bye-laws to: – enable electronic instructions and payments, – incorporate provisions for Hong Kong’s Uncertificated Securities Market (USM), – update housekeeping items to align with current GEM Listing Rules and Bermuda law.

Shareholder logistics • Register of members will be closed from 28 May 2026 to 2 Jun 2026 (both days inclusive). • Share transfer documents must be lodged by 4:30 p.m. on 27 May 2026 to qualify for AGM attendance and voting. • Proxy forms must be submitted by 10:00 a.m. on 31 May 2026.

The circular states that all AGM resolutions will be decided by poll and that no shareholder is required to abstain from voting. The document is available on HKEXnews and the company’s website for at least seven days.
