JEP Holdings (1J4) said on Aug, 24 2026 that its subsidiaries have entered into three new interested person transactions with controlling shareholder UMS Integration and its units, taking the year-to-date total of such dealings to about 2.55 million Singapore dollars, or 3.52 per cent of the group’s latest audited net tangible assets of 72.413 million Singapore dollars.
The transactions comprise:
• Interest of about 0.16 million Singapore dollars on a 13 million Singapore dollars shareholder loan from UMS to JEP Precision Engineering.
• A three-year lease of office and factory space by JEP Precision Engineering (M) to UMS subsidiary Ultimate Machining Solutions (M) worth roughly 1.75 million Singapore dollars.
• A combined 0.65 million Singapore dollars for the purchase of one machine from Ultimate Machining Solutions (M) and the disposal of another machine to UMS Pte. Ltd. by JEP Engineering.
Adding transactions already conducted under an existing shareholders’ mandate, total dealings between JEP and the UMS Group in FY2026 amount to around 22.07 million Singapore dollars, equal to 30.48 per cent of JEP’s latest audited net tangible assets. The audit committee said the terms are on normal commercial conditions and are not prejudicial to minority shareholders.
No shareholder vote is required because the new transactions exceeded the 3 per cent but remained below the 5 per cent threshold set by Singapore Exchange Catalist Rule 905(2).
