Hanvey Group Holdings Limited has released its circular for the 2026 annual general meeting (AGM), scheduled for 29 May 2026 at 10:30 a.m. in Kwai Chung, Hong Kong.
Key proposals to be put before shareholders:
1. Adoption of FY 2025 results • Audited financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports, will be tabled for approval.
2. Board composition • Executive director Ms Au Corona Ching Mei, M.H., and independent non-executive director Ms Yee Wai Fong Wendy will retire by rotation and stand for re-election. • Both candidates bring more than three decades of industry and finance experience, respectively.
3. Auditor re-appointment • Confucius International CPA Limited is nominated to continue as external auditor until the next AGM.
4. General share mandates • Issuance Mandate: authority to allot, issue or transfer up to 20% of the current issued share capital, equivalent to a maximum of 49.50 million shares, based on the 247.50 million shares outstanding as of 4 May 2026. • Share Buy-back Mandate: authority to repurchase up to 10% of issued shares, or 24.75 million shares. • Extension Mandate: the number of shares bought back may be added to the issuance limit. The board states it has no immediate plans to exercise either mandate.
5. Key dates • Register of members closed: 26–29 May 2026 (both days inclusive). • Last day for share transfers to qualify for AGM attendance and voting: 22 May 2026.
Proxy forms must reach Tricor Investor Services Limited at least 48 hours before the meeting. All resolutions will be decided by poll. The circular is available on the HKEX and company websites.
