Carry Wealth Holdings Limited announced a series of board and committee changes effective 7 May 2026. Independent non-executive director (INED) and Lead INED Mr. Cheng Wai Hei has resigned from the board, the Audit Committee chairmanship, and membership of both the Remuneration and Nomination Committees due to personal work adjustments. The company stated Mr. Cheng confirmed his independence under Listing Rule 3.13, reported no conflicts of interest, and expressed no disagreement with the board.

To fill the vacancies, the board appointed: 1. Mr. Yu Baosen (age 75) as an executive director. Mr. Yu, a geological machinery engineer with decades of management experience in the mining sector, will serve an initial three-year term with fixed monthly remuneration of HK$25,000. 2. Mr. Yang Jusheng (age 42) as an INED and member of the Audit, Remuneration and Nomination Committees. Holding a master’s degree in Geological Engineering, Mr. Yang brings project and executive experience from several mining enterprises. He will serve a three-year term with fixed monthly remuneration of HK$10,000 and has confirmed his independence under Listing Rule 3.13. 3. Ms. Li Qian, an existing INED, is elevated to chair the Audit Committee and designated as the new Lead INED. The Lead INED position carries no executive or managerial duties within the group.

Following these changes, the six-member board comprises three executive directors—Mr. Zhang ZiXing (Chairman), Mr. Yu Baosen and Mr. Lee Chi Ho—and three INEDs—Mr. Yang Jusheng, Mr. Lam Chi Wing and Ms. Li Qian.

The company expressed appreciation for Mr. Cheng’s contributions and extended a formal welcome to the newly appointed directors.
