Weichai Power Co., Ltd. (Weichai Power) will hold an Extraordinary General Meeting (EGM) on 14 September 2026 in Weifang, Shandong. Shareholders will vote on four principal matters:
1. Director election • Nomination of Liu Yi as Executive Director for a term ending at the 2026 AGM.
2. Non-exempt continuing connected transactions • Weichai Heavy Machinery Group: Revision and three-year extension of the supply framework covering diesel engines, related products, raw materials and technical services. – Revised/New annual caps: RMB 5.60 billion (2026), RMB 6.50 billion (2027) and RMB 7.50 billion (2028).
• China National Heavy Duty Truck Group (CNHTC): Renewal of the supply framework for vehicles, engines, related products and services. – New annual caps: RMB 30.00 billion (2027), RMB 33.60 billion (2028) and RMB 36.00 billion (2029).
These caps exceed the 5% revenue threshold under Hong Kong Listing Rule 14A.76; therefore, independent shareholder approval, public disclosure and annual review are required.
3. PRC continuing connected transactions • Revised purchase caps with Weichai Heavy Machinery for 2026–2028 (RMB 5.60 billion, RMB 6.50 billion, RMB 7.50 billion). • Revised purchase caps with CNHTC for 2026–2028 (RMB 1.30 billion, RMB 1.40 billion, RMB 1.50 billion). • Revised caps with Shaanxi Automotive and its associates covering mutual sales and purchases totalling RMB 15.10 billion (2026), RMB 18.89 billion (2027) and RMB 21.15 billion (2028).
4. Governance and approvals • The Independent Board Committee, advised by Trinity Corporate Finance Limited, deems the major connected-deal terms and caps fair and reasonable and recommends shareholders vote in favour. • Weichai Holdings and its associates (holding 16.46 % of issued shares) will abstain from voting on the connected-transaction resolutions. • Proxy forms for H-shareholders must be submitted to Computershare Hong Kong Investor Services by 2:50 p.m. on 13 September 2026; the H-share register closes 9–14 September 2026.
Completion of these approvals will secure long-term supply chains with major related-party customers and suppliers while installing new leadership on Weichai Power’s board.
