Wanguo Gold completes HK$5.50 billion 0.75% convertible bond issue due 2027

Wanguo Gold Group Limited has finalised the issuance of HK$5.50 billion 0.75% convertible bonds maturing in 2027, with completion on 25 August 2026 under its general mandate.

The bonds—convertible into new shares at an initial price of HK$15.62—will begin trading on the Vienna MTF on 26 August 2026. All conditions precedent under the subscription agreement have been met, and each placee has been confirmed as an independent third party. The Hong Kong Stock Exchange has granted approval for the listing of, and permission to deal in, the new shares issuable upon conversion.

After commissions and related expenses, net proceeds are estimated at HK$5.44 billion. The company plans to deploy 100% of these funds to acquire producing or near-production gold-mining assets with sizeable resources, competitive cost profiles and significant geological potential in both established and emerging jurisdictions. Management targets full utilisation of the proceeds by end-2028 and is currently assessing opportunities, with no binding agreements signed to date.

If the bonds are fully converted, Wanguo Gold would issue approximately 352.11 million new shares, expanding the outstanding share count (excluding treasury stock) from 4.40 billion to 4.76 billion. Post-conversion, bondholders would collectively own 7.40%, while existing shareholders would be diluted to 92.60%. The company holds 21.96 million treasury shares but has no plan to deploy them for conversion purposes.

The offering was arranged with a sole overall coordinator, global coordinator, lead manager and bookrunner; all securities were placed outside the United States under Regulation S.
