NEW SILKROAD Holding Group Limited will hold its 2026 annual general meeting (AGM) on 29 June 2026 (Monday) at 11:00 a.m. in Hong Kong. Key proposals include:
General mandates • 20% Issuance Mandate – Directors seek authority to allot, issue, resell and transfer up to 641.52 million new shares, representing 20% of the 3.21 billion issued shares (excluding any treasury shares) recorded on 20 May 2026. • 10% Repurchase Mandate – The Board requests approval to buy back up to 320.76 million shares (10% of current issued shares). The issuance limit may be extended by the number of shares repurchased.
Board composition • Re-election of six directors: executive directors Wang Gengyu (Chairman & CEO), Shen Yang and Wu Xuan, plus independent non-executive directors Chow On Kiu, Prof. Richard Gerardus Franciscus Visser and Dr. Tsai Cheng Chieh.
Auditor • Re-appointment of CCTH CPA Limited until the next AGM, with expected audit fees of HK$1.30 million–HK$1.50 million for FY 2026.
Bye-law update • Adoption of amended and restated bye-laws to: – incorporate Hong Kong Listing Rules changes on treasury shares (effective 11 June 2024) and electronic dissemination of corporate communications (effective 31 December 2023); – reflect the company’s change of name to NEW SILKROAD Holding Group Limited (effective 26 February 2026); – include other housekeeping and consistency updates.
Shareholder record date • Register of members closes from 23 June 2026 to 29 June 2026 (both days inclusive). Shareholders must lodge transfers by 4:30 p.m. on 22 June 2026 to qualify for attendance and voting.
• All AGM resolutions will be decided by poll.
