Shanghai-based JIAODA WITHUB (HK: 08205) reported unanimous shareholder backing for every item on the agenda at its Annual General Meeting held on 22 June 2026.
The meeting was attended in person or by proxy by holders of 297.78 million shares, representing 62.04% of the company’s total 480 million issued shares. All 12 resolutions—10 ordinary and 2 special—received 100.00% of votes cast in favour, with zero votes against.
Key approvals included: • 2025 performance package: Directors’ report, supervisory committee report, and audited consolidated financial statements were endorsed. The 2025 dividend distribution plan and appropriations to the statutory surplus reserve and public welfare fund also passed. • Auditor: ShineWing Certified Public Accountants (Special General Partnership) was re-appointed for FY 2026, with the Board authorised to fix remuneration. • Board composition: Directors Zhang Xiaobo, Sun Jingchen and Yuan Shumin were re-elected for new three-year terms. • Supervisory changes: External supervisor Qin Yanming resigned for business reasons. Shareholders approved the appointment of Sun Shuzhe as supervisor for a three-year term; he will serve without salary or additional benefits. • Corporate actions: Shareholders granted the Board a general mandate to issue additional domestic and H shares. Approval was also given to change the company’s legal address and principal place of business in the PRC and to adopt revised Articles of Association, pending regulatory filings.
All nine directors of JIAODA WITHUB attended the AGM, and ShineWing acted as scrutineer for poll counting.
